SPECIAL MEETING OF THE BOARD OF TRUSTEES OF WESTERN CAROLINA UNIVERSITY

The Board of Trustees of Western Carolina University met in special session on October 29, 2010 in the Blue Ridge Conference Room. The meeting was called to order at 9:00 a.m. by Chairman Warren.

ATTENDANCE
The following members of the Board were present: Mr. Warren, Mr. Metcalf, Ms. Saunooke, Mr. Broadwell, Mr. Kiser, Mrs. MacNeill, Mrs. Williams, Mrs. Wyche, Mr. Little, Mr. Worley, and Mr. Dorsey.

The following members of the Board were absent: Dr. Siegel, Mr. Forsyth.

Others present: Ms. Lemmon, Associate Vice President for Human Resources at UNC; Ms. Lochner, General Counsel; Mr. Studenc, Senior Director of News Services; Ms. McNelis, Faculty Senate Chair; Ms. Ashe, Administrative Assistant; Mr. Chris Mueller; Ms. Quintin Ellison of the Smoky Mountain News; and Ms. Welch, Assistant Secretary to the Board of Trustees.

ETHICS STATEMENT
Mr. Warren read the following: “As Chair of the Board of Trustees, it is my responsibility to remind all members of the Board of their duty under the State Government Ethics Act to avoid conflicts of interest and appearances of conflict of interest as required by this Act. Each member has received the agenda and related information for this Board of Trustees’ meeting. If any Board member knows of any conflict of interest or appearance of conflict with respect to any matter coming before the Board of Trustees at this meeting, the conflict or appearance of conflict should be identified at this time.”

There were no conflicts disclosed.

SEARCH FIRM INTERVIEWS
The Board interviewed Dan Parker from Parker Executive Search.

The Board interviewed Howard Jessamy from Witt-Kieffer.

The Board interviewed Jerry and Martin Baker from Baker and Associates.

SEARCH FIRM SELECTION
Mr. Warren asked the Board to rank the three firms. Each Board member did so. Mr. Little encouraged the Board to keep control of the search process. Mrs. MacNeill appreciated the work that was put into these presentations by all of the firms. Mr. Kiser said that all three did a good job with their presentations. Everyone explained their ranking and why. Mr. Metcalf thanked Ms. Lemmon with her help on this process. With the Board rankings showing Baker and Associates as the majority choice, Mr. Warren stated that he felt that Baker’s close connection to and good results in North Carolina made Baker and Associates a good choice. Mr. Little moved that the Board choose Baker and Associates to lead the search for the next chancellor of Western Carolina University. Mrs. MacNeill seconded the motion, and it was approved unanimously.

SEARCH COMMITTEE SELECTION
Mr. Warren made a recommendation to the full Board that the following individuals be selected as the search committee for the next chancellor of Western Carolina University: Steve Warren, Chair; Jerry Kiser; Joan MacNeill; Tommye Saunooke; Teresa Williams; Charlie Worley; A.J. Grube; Erin McNelis; Billy Ogletree; Daniel Dorsey; William Frady; Carol Burton; Betty Allen; Kenny Messer; Phil Walker; Scott Hamilton. Mr. Broadwell moved that the list of individuals for the search committee be approved as recommended. Mr. Metcalf seconded the motion, and it was approved unanimously.

Mr. Warren promised that he will keep the full Board informed and engaged in the process. He asked every member of the Board to sign the Confidentiality Agreement and turn it in to Ms. Welch. He stated that President-Elect Tom Ross will be here on November 16 to give the charge to the committee.

ADJOURNMENT
There being no further business, Mr. Metcalf moved that the meeting be adjourned. Ms. Saunook seconded the motion, and it was adjourned at 12:52 p.m.
